Position Summary/Objective Support Legal Team in all legal matters including corporate governance, entity formation, real estate transactions and contract management. Essential Duties and Responsibilities • Prepare and draft organizational documents, including limited liability company agreements and limited partnership agreements • Coordinate filing of formation and dissolution documents with Secretaries of State • Coordinate filing for registration or qualification to do business in various state jurisdictions • Prepare and draft resolutions and action by written consent • Prepare organizational charts • Manage contract execution and assist in transaction closings, including notarizing documents • Assist in responding to requests for information and documents from our internal and external stakeholders • Assist with real estate transactions, M&A and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documents • Assist with a wide variety of agreements, including NDAs, purchase and sale agreements, HOA and management documents, commercial leasing, master services agreements, consulting agreements, and other commercial contracts • Assist in closing process for real estate and loan transactions • Notarize documents as necessary • Prepare closing indices and binders, and follow up on post-closing matters • Identify, design, and implement new processes and procedures to improve efficiency, productivity, and communication • Maintain corporate records • Other responsibilities based on experience, abilities, and interest Minimum Qualifications (Knowledge, Skills and Abilities) • At least 5 years of experience as a corporate paralegal or real estate paralegal at a large law firm or in house legal department, or combination, directly related to the duties and responsibilities specified • Undergraduate degree from a 4-year accredited institution • Strong computer skills required, including proficiency with Microsoft Office Suite (Word, Excel, Outlook), DocuSign, PDFs, and contract management systems • Experience in real estate • Experience in title review a plus but not required • Excellent organizational skills are critical for this position • Must be detail oriented, proactive, and able to handle several projects simultaneously while producing accurate work product • Excellent verbal and written communication skills • Strong understanding of business sensitivities and confidentiality • Team player with high level of professionalism • Comfortable working in a fast-paced high growth environment • Valid driver's license is a requirement Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.
